CORELY CONNECT CUSTOMER AGREEMENT

This Corely Connect Customer Agreement (“Customer Agreement”) applies to Customers who access or use Corely Connect, the customer-facing application, website experience, or related service features made available by Corely LLC (“Corely”).

This Customer Agreement supplements the Corely Terms of Service, Privacy Policy, and Payment and Payout Policy. By creating a Corely Connect account, submitting a Request, communicating with a Provider, accepting a Quote, making a payment, or otherwise using Corely Connect, the Customer agrees to this Customer Agreement.

If the Customer does not agree to this Customer Agreement, the Customer may not use Corely Connect.

1. RELATIONSHIP TO OTHER TERMS

This Customer Agreement applies only to Customers using Corely Connect.

The following terms also apply:

  • Corely Terms of Service

  • Privacy Policy

  • Payment and Payout Policy

  • any terms shown during account creation, Request submission, Quote acceptance, checkout, payment, or use of specific features

If this Customer Agreement conflicts with the Corely Terms of Service, this Customer Agreement controls for Customer-specific use of Corely Connect.

If this Customer Agreement conflicts with the Payment and Payout Policy, the Payment and Payout Policy controls for payment, refund, cancellation, chargeback, reversal, and transaction-specific matters.

If this Customer Agreement conflicts with the Privacy Policy, the Privacy Policy controls for privacy and data processing matters.

2. DEFINITIONS

For purposes of this Customer Agreement:

“Corely” means Corely LLC.

“Corely Connect” means the customer-facing application, website experience, or related service features made available by Corely for Customers to discover Providers, view Provider profiles, submit Requests, review Quotes, communicate with Providers, and use payment-related workflows.

“Customer” means a User that seeks, requests, reviews, accepts, schedules, pays for, or otherwise interacts with Provider Services through Corely Connect. A Customer may include a homeowner, renter, landlord, property manager, business, organization, or other person or entity seeking Provider Services.

“Provider” means any individual, sole proprietor, contractor, trade professional, business, company, team, or other entity that creates or uses a Corely Pro account, maintains a provider profile, receives Requests, submits Quotes, accepts work, offers Provider Services, performs Provider Services, or receives payouts through the Service.

“Provider Services” means trade, home service, repair, maintenance, installation, construction, improvement, inspection, consultation, cleaning, labor, or other services offered, quoted, managed, or performed by a Provider.

“Request” means a Customer inquiry, job request, project request, service request, message, or similar submission made through Corely Connect.

“Quote” means an estimate, proposal, price, scope, service offer, or similar submission made by a Provider through Corely.

“Request Thread” means a shared workflow, message thread, project record, or service record through which Customers and Providers may view, discuss, submit, accept, reject, revise, or manage Requests, Quotes, payments, records, communications, or related information.

“Customer Content” means any information, content, data, text, photos, videos, documents, messages, notes, reviews, ratings, Request details, property information, contact information, payment-related information, or other materials submitted, uploaded, transmitted, posted, or otherwise made available by a Customer through Corely Connect.

“Transaction” means a payment, refund, cancellation fee, chargeback, reversal, hold, transfer, or other payment-related activity made through or in connection with Corely Connect.

3. CORELY CONNECT

Corely Connect is a technology platform that allows Customers to discover Providers, submit Requests, review Quotes, communicate with Providers, and use payment-related workflows.

Corely Connect may include:

  • Provider discovery;

  • Provider profiles;

  • maps;

  • search tools;

  • marketplace recommendations;

  • Request submission;

  • Request Threads;

  • Quote review;

  • messaging;

  • payment workflows;

  • receipts;

  • support tools;

  • related marketplace features.

Corely Connect does not perform Provider Services. Corely does not provide trade work, repair work, construction work, maintenance work, installation work, cleaning work, inspection work, or other Provider Services.

Corely is not a general contractor, subcontractor, construction company, home improvement contractor, broker, insurer, lender, bank, escrow agent, staffing agency, payroll provider, or professional services provider.

4. CUSTOMER ELIGIBILITY AND ACCOUNT RESPONSIBILITY

A Customer must be at least eighteen (18) years old and capable of forming a binding contract to use Corely Connect.

A Customer using Corely Connect on behalf of a business, landlord, property owner, property manager, organization, or other entity represents that the Customer has authority to act on behalf of that person or entity.

The Customer agrees to provide accurate, complete, and current information and to keep account information updated.

The Customer is responsible for maintaining the confidentiality and security of account credentials and for all activity that occurs under the Customer’s account.

Corely may refuse registration, restrict access, suspend an account, or terminate an account where Corely determines such action is necessary or appropriate to protect Customers, Providers, Corely, the Service, or legal compliance.

5. CUSTOMER REQUESTS

Customers may submit Requests through Corely Connect.

A Request may include:

  • service category;

  • project description;

  • property address or service location;

  • photos, videos, or documents;

  • timing or availability information;

  • contact information;

  • access instructions;

  • budget or pricing expectations;

  • other information relevant to the requested Provider Services.

The Customer is responsible for the accuracy, completeness, and legality of all Request information.

The Customer authorizes Corely to share Request information with Providers, Third-Party Services, and support tools as necessary or appropriate to operate Corely Connect, route Requests, facilitate Quotes, support communications, process payments, provide support, prevent fraud, and enforce applicable terms.

Corely does not guarantee that a Request will receive a response, that any Provider will submit a Quote, or that any Provider will accept or complete Provider Services.

6. PROVIDER DISCOVERY, MAPS, SEARCH, AND RECOMMENDATIONS

Corely Connect may provide Provider discovery, maps, search results, availability indicators, rankings, recommendations, request routing, or matching features.

These features are provided for convenience and informational purposes only.

Corely does not guarantee:

  • Provider availability;

  • Provider suitability;

  • Provider licensing;

  • Provider insurance;

  • Provider qualifications;

  • Provider pricing;

  • Provider response time;

  • Provider work quality;

  • Provider search placement;

  • accuracy of maps, rankings, recommendations, or availability indicators.

Search results, maps, rankings, and recommendations may be based on location, service category, Provider profile information, availability indicators, User activity, engagement, platform data, and other relevance signals determined by Corely.

Corely may modify, remove, limit, suspend, or change discovery, map, ranking, recommendation, and availability features at any time.

7. PROVIDER PROFILES AND PROVIDER INFORMATION

Corely Connect may display Provider profiles or related Provider information.

Provider information may include:

  • Provider name;

  • business name;

  • service categories;

  • service area;

  • profile description;

  • photos or portfolio images;

  • availability indicators;

  • reviews or ratings;

  • licensing, insurance, certification, or credential information if submitted or displayed;

  • other information submitted by the Provider.

Provider profile information may be submitted by Providers and may not be independently verified by Corely.

The Customer is responsible for conducting any due diligence the Customer considers necessary before hiring, accepting a Quote from, paying, granting access to, or allowing work by any Provider.

The Customer should independently confirm Provider licensing, insurance, qualifications, references, work scope, safety practices, permits, and suitability before Provider Services begin.

8. QUOTES AND REQUEST THREADS

Providers may submit Quotes through Corely.

Quotes may appear inside Request Threads shared between the applicable Customer and Provider.

A Quote may include:

  • scope of work;

  • price;

  • labor;

  • materials;

  • timing;

  • assumptions;

  • exclusions;

  • conditions;

  • deposit requirements;

  • cancellation terms;

  • expiration date;

  • other Provider-supplied terms.

Quotes are submitted by Providers, not Corely.

Corely does not verify, endorse, guarantee, or warrant any Quote.

The Customer is responsible for reviewing each Quote carefully before accepting it.

Before accepting a Quote, the Customer should confirm:

  • included work;

  • excluded work;

  • total price;

  • timing;

  • materials;

  • access requirements;

  • permit requirements;

  • insurance requirements;

  • cancellation rules;

  • refund rules;

  • warranties, if any;

  • any additional terms from the Provider.

Information in a Request Thread may be visible to both the applicable Customer and Provider.

9. ACCEPTING A QUOTE

A Customer may accept or decline a Quote through Corely Connect where the feature is available.

By accepting a Quote, the Customer acknowledges and agrees that:

  • the Quote was submitted by the Provider;

  • the Provider is responsible for the scope, price, timing, and performance of Provider Services;

  • Provider Services are performed by the Provider, not Corely;

  • Corely is not responsible for Provider work quality, safety, legality, timing, pricing, completion, or outcome;

  • payment obligations may apply under the Payment and Payout Policy and any checkout terms shown at the time of acceptance.

Acceptance of a Quote may create a service arrangement between the Customer and the Provider. Corely is not a party to that service arrangement except to the limited extent Corely provides the platform, payment workflows, support tools, or other Service features.

10. CUSTOMER PAYMENTS

Corely Connect may allow Customers to pay for Provider Services through payment workflows made available by Corely and Third-Party Services.

By submitting payment information, accepting a Quote, authorizing a payment, or completing a checkout flow, the Customer authorizes Corely and applicable Third-Party Services to charge, debit, hold, process, refund, reverse, or otherwise manage the Transaction as necessary or appropriate to operate the Service, complete the Transaction, enforce applicable terms, comply with law, prevent fraud, and manage disputes.

Customer payments may be subject to:

  • Provider charges;

  • Corely platform fees;

  • service fees;

  • processing-related fees;

  • taxes;

  • cancellation fees;

  • refund rules;

  • failed payment rules;

  • chargeback rules;

  • terms shown during checkout;

  • the Payment and Payout Policy.

Corely is not a bank and does not provide deposit accounts, stored value accounts, lending services, insurance, payroll services, or financial advice.

11. REFUNDS, CANCELLATIONS, AND CHARGEBACKS

Refunds, cancellations, chargebacks, payment reversals, failed payments, and payment disputes are governed by:

  • this Customer Agreement;

  • the Corely Terms of Service;

  • the Payment and Payout Policy;

  • terms shown at checkout or Quote acceptance;

  • payment processor rules;

  • card network rules;

  • banking rules;

  • applicable law.

Disputes about the scope, quality, timing, completion, safety, pricing, or performance of Provider Services are between the Customer and the Provider.

Corely may provide administrative support, including receipts, timestamps, Request Thread records, payment records, platform logs, and support communications.

Corely does not guarantee refund, cancellation, chargeback, or dispute outcomes.

A Customer may not submit false, misleading, abusive, or bad-faith chargebacks, refund claims, payment disputes, or fraud reports.

Corely may restrict, suspend, or terminate Customer access for payment abuse, fraudulent disputes, chargeback abuse, or other activity that Corely determines creates risk to Corely, Providers, Customers, payment processors, banks, card networks, or the Service.

12. CUSTOMER RESPONSIBILITIES

The Customer is responsible for:

  • providing accurate Request information;

  • reviewing Provider profiles;

  • reviewing Quotes before acceptance;

  • confirming scope, price, timing, access, and job expectations;

  • verifying Provider suitability;

  • verifying licensing, insurance, permits, and credentials where appropriate;

  • ensuring the Customer has authority to request work at the property;

  • ensuring the Customer has authority to authorize payment;

  • preparing the job site or property as required;

  • providing safe and lawful access to the property;

  • communicating relevant property conditions;

  • complying with applicable laws;

  • paying amounts owed;

  • maintaining account security;

  • using Corely Connect lawfully and respectfully.

The Customer is responsible for the Customer’s own decisions, due diligence, and risk management.

13. JOB SITE, PROPERTY, ACCESS, AND CONDITIONS

The Customer is responsible for ensuring that the Provider has lawful, safe, and reasonable access to the property or job site as required for Provider Services.

The Customer is responsible for disclosing relevant conditions that may affect Provider Services, including:

  • access restrictions;

  • building rules;

  • landlord, board, or property manager requirements;

  • hazards;

  • pets;

  • security systems;

  • parking restrictions;

  • permit requirements;

  • utility access;

  • property damage;

  • unsafe conditions;

  • relevant prior work;

  • hidden or known defects;

  • any other material condition known to the Customer.

The Customer represents that the Customer has the right to request Provider Services at the relevant property or has obtained any necessary permission from the property owner, landlord, tenant, board, property manager, or other responsible party.

Corely is not responsible for property access, property conditions, permits, inspections, code compliance, damage caused by Providers, damage caused by Customers, or disputes related to the property or job site.

14. PROVIDER SERVICES ARE NOT PERFORMED BY CORELY

Provider Services are performed by independent Providers, not Corely.

Corely does not supervise, direct, control, manage, or guarantee Provider Services.

Corely does not control Provider:

  • pricing;

  • methods;

  • staffing;

  • tools;

  • equipment;

  • scheduling;

  • job acceptance;

  • work performance;

  • safety practices;

  • licensing;

  • insurance;

  • compliance;

  • completion of work.

The Customer agrees that any claim, complaint, dispute, injury, damage, loss, delay, defect, warranty issue, or service issue relating to Provider Services is between the Customer and the Provider, except to the limited extent a claim directly concerns Corely’s operation of the Service.

15. CUSTOMER–PROVIDER DISPUTES

Corely may provide support tools or administrative assistance for Customer–Provider disputes, but Corely is not required to resolve disputes between Customers and Providers.

Customer–Provider disputes may include disputes related to:

  • Quote scope;

  • pricing;

  • timing;

  • access;

  • materials;

  • work quality;

  • incomplete work;

  • property damage;

  • personal injury;

  • safety;

  • permits;

  • inspections;

  • cancellations;

  • refunds;

  • warranties;

  • communications;

  • payment status.

Corely may review Request Threads, payment records, communications, support records, photos, documents, and other available information to provide support, investigate potential violations, process payment issues, or protect the Service.

Corely may take platform-related action where appropriate, including account restriction, suspension, termination, refund processing, payout hold, payout reversal, payment reversal, or other actions permitted by applicable terms.

Corely does not guarantee that dispute support will result in a refund, payment release, Provider action, Customer action, or any particular outcome.

16. COMMUNICATIONS

The Customer consents to receive service-related communications from Corely, Providers, and Third-Party Services in connection with use of Corely Connect.

Communications may include:

  • account notices;

  • security alerts;

  • Request updates;

  • Quote updates;

  • Provider messages;

  • payment notices;

  • receipts;

  • refund notices;

  • dispute notices;

  • support messages;

  • legal notices;

  • emails;

  • SMS/text messages;

  • push notifications;

  • in-app messages.

Message and data rates may apply.

The Customer may opt out of marketing communications where applicable. Transactional, operational, safety, legal, payment, support, and service-related communications may still be sent where permitted by law.

The Customer represents that any phone number, email address, property contact, or other contact information submitted through Corely Connect is accurate and provided with the necessary rights and permissions.

17. CUSTOMER CONTENT

The Customer retains ownership of Customer Content.

The Customer grants Corely a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, transmit, display, reproduce, format, analyze, modify for technical purposes, and use Customer Content as necessary or appropriate to:

  • operate Corely Connect;

  • process Requests;

  • share Request information with Providers;

  • display information in Request Threads;

  • facilitate Quotes;

  • support Customer–Provider communications;

  • process payments;

  • provide customer support;

  • investigate disputes;

  • prevent fraud or abuse;

  • improve the Service;

  • enforce applicable terms;

  • comply with law.

The Customer represents and warrants that:

  • the Customer owns or has sufficient rights to submit Customer Content;

  • Customer Content is accurate and lawful;

  • Customer Content does not violate any law, contract, privacy right, intellectual property right, property right, or third-party right;

  • the Customer has obtained all required permissions to submit, upload, store, process, share, or transmit Customer Content through Corely Connect.

Corely may remove, restrict, preserve, disclose, or limit access to Customer Content where Corely determines such action is necessary or appropriate to operate the Service, enforce terms, comply with law, protect Users, respond to legal process, investigate violations, or address safety, security, fraud, risk, or compliance concerns.

18. REVIEWS, RATINGS, AND FEEDBACK

Corely Connect may allow Customers to submit reviews, ratings, comments, feedback, photos, or other content related to Providers, Provider Services, or the Service.

Customer reviews and ratings must be truthful, relevant, and based on the Customer’s actual experience.

The Customer may not submit reviews, ratings, or feedback that are:

  • false;

  • misleading;

  • defamatory;

  • abusive;

  • discriminatory;

  • threatening;

  • irrelevant;

  • spam;

  • manipulated;

  • paid for or incentivized in a deceptive manner;

  • submitted to harm a Provider unfairly;

  • submitted in exchange for compensation unless clearly permitted and disclosed.

Corely may remove, restrict, moderate, or decline to display reviews, ratings, or feedback where Corely determines such action is necessary or appropriate.

Corely does not guarantee that any review, rating, or feedback will be displayed, preserved, edited, or removed.

19. PROHIBITED CUSTOMER CONDUCT

The Customer may not:

  • use Corely Connect for illegal, deceptive, fraudulent, abusive, harmful, unsafe, or unauthorized activity;

  • submit false, misleading, incomplete, or deceptive Request information;

  • impersonate another person or entity;

  • request Provider Services at a property without authority;

  • misrepresent payment authorization;

  • submit false payment information;

  • submit fraudulent refund claims, disputes, or chargebacks;

  • harass, threaten, abuse, discriminate against, exploit, or harm Providers, Corely personnel, or other Users;

  • request illegal, unsafe, unlicensed, or prohibited services;

  • pressure Providers to avoid legal requirements, permits, inspections, taxes, licensing, or safety rules;

  • circumvent Corely payment workflows where in-platform payment is required;

  • solicit off-platform payment where Corely requires in-platform payment;

  • manipulate reviews, ratings, referrals, rankings, promotions, or platform workflows;

  • upload malware, harmful files, or unlawful content;

  • scrape, copy, harvest, or extract data from the Service without permission;

  • reverse engineer, interfere with, disrupt, overload, or impair the Service;

  • violate applicable law, this Customer Agreement, the Corely Terms of Service, or third-party rights.

Corely may investigate suspected violations and may take action, including warnings, content removal, payment restrictions, account restrictions, suspension, termination, reporting to authorities, or legal action.

20. SAFETY AND DUE DILIGENCE

The Customer is responsible for making safe, informed, and lawful decisions when using Corely Connect.

Corely does not guarantee that any Provider is licensed, insured, qualified, available, safe, suitable, or legally permitted to perform Provider Services.

The Customer should independently verify any Provider information that matters to the Customer, including:

  • identity;

  • business status;

  • licensing;

  • insurance;

  • certifications;

  • permits;

  • references;

  • reviews;

  • experience;

  • scope;

  • price;

  • safety practices;

  • warranties;

  • suitability for the job.

The Customer is responsible for determining whether to allow a Provider onto the property or job site.

Corely is not responsible for background checks, credential checks, licensing checks, insurance checks, property access decisions, or the Customer’s decision to hire or not hire a Provider, except to the extent Corely expressly states otherwise in writing.

21. NO PROFESSIONAL ADVICE

Corely Connect may display information related to Providers, Requests, Quotes, pricing, availability, categories, maps, payment status, or marketplace activity.

Such information is for general marketplace and operational purposes only.

Corely does not provide legal, tax, construction, engineering, safety, insurance, inspection, code compliance, financial, or professional advice.

The Customer should consult qualified professionals where appropriate.

22. SUSPENSION AND TERMINATION

The Customer may stop using Corely Connect at any time.

Corely may suspend, restrict, or terminate Customer access where Corely determines such action is necessary or appropriate, including due to:

  • violation of this Customer Agreement;

  • violation of the Corely Terms of Service;

  • violation of the Payment and Payout Policy;

  • suspected fraud, abuse, unsafe activity, unlawful activity, or platform manipulation;

  • failed payments;

  • chargeback abuse;

  • refund abuse;

  • false Requests;

  • harassment or misconduct;

  • legal, regulatory, payment processor, bank, card network, or app store requirements;

  • risk, security, safety, or compliance concerns;

  • protection of Customers, Providers, Corely, Third-Party Services, or the public.

Upon termination, the Customer’s right to access and use Corely Connect ends immediately.

Sections that by their nature should survive termination will survive, including sections concerning payments, refunds, chargebacks, Customer Content, disclaimers, limitation of liability, indemnification, disputes, governing law, and miscellaneous obligations.

23. DISCLAIMERS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORELY CONNECT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

CORELY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND QUIET ENJOYMENT.

CORELY DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT:

  • CORELY CONNECT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR AVAILABLE;

  • PROVIDER PROFILES, SEARCH RESULTS, MAPS, RANKINGS, RECOMMENDATIONS, AVAILABILITY INDICATORS, REQUEST THREADS, QUOTES, PAYMENT INFORMATION, OR PLATFORM INFORMATION WILL BE ACCURATE OR RELIABLE;

  • ANY PROVIDER WILL RESPOND, ACCEPT A REQUEST, SUBMIT A QUOTE, ARRIVE, COMPLETE WORK, OR PERFORM PROVIDER SERVICES SAFELY, LEGALLY, TIMELY, OR PROPERLY;

  • ANY QUOTE WILL BE ACCURATE, COMPLETE, FINAL, OR SUITABLE;

  • ANY PROVIDER SERVICES WILL MEET THE CUSTOMER’S EXPECTATIONS;

  • ANY PAYMENT, REFUND, CANCELLATION, CHARGEBACK, REVERSAL, OR DISPUTE WILL BE COMPLETED OR RESOLVED IN A PARTICULAR WAY;

  • ANY PROVIDER IS LICENSED, INSURED, QUALIFIED, SUITABLE, OR COMPLIANT.

USE OF CORELY CONNECT IS AT THE CUSTOMER’S SOLE RISK.

24. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

CORELY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO CORELY CONNECT, PROVIDERS, QUOTES, REQUESTS, REQUEST THREADS, PAYMENTS, OR PROVIDER SERVICES.

CORELY WILL NOT BE LIABLE FOR:

  • ACTS OR OMISSIONS OF PROVIDERS, CUSTOMERS, PROVIDER PERSONNEL, OR THIRD PARTIES;

  • PROVIDER SERVICES OR ANY PERFORMANCE, NONPERFORMANCE, QUALITY, SAFETY, LEGALITY, TIMING, PRICE, OR OUTCOME OF PROVIDER SERVICES;

  • DISPUTES BETWEEN CUSTOMERS AND PROVIDERS;

  • PROPERTY DAMAGE, PERSONAL INJURY, DEATH, ECONOMIC LOSS, OR OTHER HARM ARISING FROM PROVIDER SERVICES;

  • PAYMENT FAILURES, REFUNDS, CHARGEBACKS, REVERSALS, PAYMENT PROCESSOR ACTIONS, BANK ACTIONS, CARD NETWORK ACTIONS, OR APP STORE ACTIONS;

  • UNAUTHORIZED ACCESS, DATA LOSS, SECURITY INCIDENTS, SERVICE INTERRUPTIONS, OR THIRD-PARTY SERVICES, EXCEPT TO THE EXTENT LIABILITY CANNOT BE LIMITED BY LAW.

CORELY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS CUSTOMER AGREEMENT, CORELY CONNECT, OR PROVIDER SERVICES WILL NOT EXCEED THE GREATER OF:

(A) AMOUNTS PAID BY THE CUSTOMER TO CORELY IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, THE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

25. INDEMNIFICATION

The Customer agrees to indemnify, defend, and hold harmless Corely, its members, managers, officers, employees, contractors, affiliates, service providers, and agents from and against any claims, demands, damages, liabilities, losses, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • the Customer’s access to or use of Corely Connect;

  • the Customer’s violation of this Customer Agreement;

  • the Customer’s violation of the Corely Terms of Service, Payment and Payout Policy, or any applicable terms;

  • the Customer’s violation of law or third-party rights;

  • Customer Content;

  • Requests submitted by the Customer;

  • Quotes accepted or rejected by the Customer;

  • Customer–Provider disputes;

  • Provider Services requested, scheduled, authorized, or paid for by the Customer;

  • property access, property conditions, permits, approvals, or job site issues;

  • payments, refunds, chargebacks, reversals, failed payments, or fraudulent disputes;

  • fraud, abuse, misconduct, negligence, or willful misconduct by the Customer.

Corely may assume the exclusive defense and control of any matter subject to indemnification. The Customer agrees to cooperate with Corely’s defense of such claims.

26. CHANGES TO THIS CUSTOMER AGREEMENT

Corely may update this Customer Agreement from time to time.

When this Customer Agreement is updated, Corely will revise the “Last updated” date above and may provide additional notice where required by law or where Corely determines notice is appropriate.

Continued access to or use of Corely Connect after an updated Customer Agreement becomes effective constitutes acceptance of the updated Customer Agreement.

A Customer that does not agree to the updated Customer Agreement must stop using Corely Connect.
